These terms govern your use of the Cairn Bureau website and the engagement of our consulting services. Please read them carefully. By using this website or requesting our services, you agree to be bound by these terms.
1. Definitions
In these Terms and Conditions, the following terms carry the meanings given below:
- "Cairn Bureau", "we", "us", "our" — the consulting practice operating at 16, Persiaran Tropicana, Tropicana Golf, 47410 Petaling Jaya, Selangor, Malaysia.
- "You", "Client", "User" — any person or organisation that uses our website or engages our services.
- "Services" — the consulting offerings described on our website, including the Strategic Trail Map, Half-Day Working Session, and Quarterly Trail Companion.
- "Deliverables" — written outputs, session records, or structured materials produced by Cairn Bureau in the course of a service engagement.
- "Agreement" — these Terms and Conditions, together with any written service proposal or engagement letter issued to you.
- "Website" — the Cairn Bureau website accessible at cairnbu.sbs.
2. Acceptance of Terms
By accessing this website or engaging Cairn Bureau's services, you confirm that you have read, understood, and agree to these terms. Use of our services is available to individuals and organisations that have the legal capacity to enter binding agreements. Our services are directed at business professionals and organisational representatives; they are not intended for individuals under 18 years of age.
3. Service Description
Cairn Bureau provides strategic consulting services to small and mid-sized organisations in Malaysia. Our three core offerings are:
- Strategic Trail Map — a structured written analysis of a defined strategic question, delivered over a short engagement period and accompanied by an in-person or virtual working session.
- Half-Day Working Session — a facilitated session for up to eight participants, designed around a single agreed strategic or operational question, with a written record of outcomes.
- Quarterly Trail Companion — an ongoing subscription accompaniment to your organisation's quarterly review cycle, including preparation packs, facilitation, and written action records.
The scope and specific deliverables of each engagement are confirmed in writing before work commences. Services are delivered in English and are available to organisations operating primarily in Malaysia.
4. User Responsibilities
When using this website or engaging our services, you agree to:
- Provide accurate and complete information when submitting enquiries or entering into an engagement
- Use the website and any deliverables for lawful purposes only
- Not reproduce, resell, or redistribute our deliverables to third parties without prior written consent
- Not attempt to interfere with the operation of the website or circumvent any security measures
- Keep confidential any non-public information shared with you in the course of an engagement
5. Intellectual Property
All content on this website — including text, design, structure, and visual elements — is the property of Cairn Bureau and is protected under applicable Malaysian intellectual property law.
Deliverables produced in the course of a paid engagement are licensed to the client for their internal strategic use. This license is non-exclusive and non-transferable. Cairn Bureau retains ownership of underlying methodologies, frameworks, and analytical approaches used to produce those deliverables.
You may not present Cairn Bureau's deliverables as your own work in public forums, academic submissions, or published materials without written attribution and prior consent.
6. Payment Terms
Fees are quoted and invoiced in Malaysian Ringgit (MYR). Our current service fees are:
- Strategic Trail Map — RM 1,690 per engagement
- Half-Day Working Session — RM 680 per session
- Quarterly Trail Companion — RM 2,890 per quarter
Payment terms are as follows:
- A 50% deposit is due upon confirmation of an engagement, before work commences
- The remaining balance is due within 14 days of delivery of the final deliverable or completion of the session
- For the Quarterly Trail Companion, each quarter is invoiced in advance
Cancellations and adjustments
Cancellations made more than 5 working days before a scheduled session may receive a credit toward a future engagement at our discretion. Cancellations with shorter notice, or after work has commenced, are not eligible for a refund of the deposit. We do not offer refunds on completed deliverables. If a deliverable does not meet the agreed scope, we will discuss a reasonable remedy in good faith.
7. Service Delivery
Indicative timelines are agreed at the start of each engagement. Cairn Bureau will communicate promptly if a timeline needs to be revised, and will seek to agree any changes with the client in writing.
The quality and usefulness of our work depends in part on the information and access you provide. We rely on information shared by the client being accurate and reasonably complete. Delays caused by late provision of required information or unavailability of key participants may affect delivery timelines.
Sessions are conducted in person or by video call, as agreed. Written deliverables are supplied in PDF or similar document format.
8. Disclaimers
Cairn Bureau provides general business consulting, facilitation, and written analysis. Our work does not constitute legal advice, financial advice, investment advice, accounting advice, or any form of regulated professional service. The observations, hypotheses, and recommendations in our deliverables are offered as structured input for your leadership team's consideration — the decisions and their consequences remain with you.
We do not make any representations about the outcomes that may follow from implementing any recommendations discussed in our sessions or contained in our written materials. Business conditions are complex and results depend on many factors outside our engagement.
This website is provided in good faith. We do not warrant that it will be uninterrupted or error-free.
9. Limitation of Liability
To the fullest extent permitted under Malaysian law, Cairn Bureau's total liability to you arising from any engagement or use of this website will not exceed the total fees paid by you for the specific engagement giving rise to the claim.
We will not be liable for any indirect, consequential, or speculative losses, including loss of business opportunity, loss of anticipated revenue, or reputational harm, regardless of whether such losses were foreseeable.
We will not be held liable for delays or failures caused by circumstances outside our reasonable control, including illness, third-party service disruptions, or force majeure events.
10. Confidentiality
Both parties agree to treat as confidential any non-public business information shared in the course of an engagement. Cairn Bureau will not disclose client information to third parties except where required by law or where necessary to deliver the agreed services (for example, engaging a transcription or document formatting service under appropriate confidentiality terms).
Client organisations are similarly requested to treat Cairn Bureau's unpublished methodologies and working materials as confidential. This obligation survives the end of the engagement.
11. Termination
Either party may end an engagement by giving 14 days written notice. In the event of early termination, fees are payable for work completed to the date of notice, calculated on a pro-rata basis where applicable.
Cairn Bureau reserves the right to decline or end an engagement if we have reason to believe it would require us to act unlawfully, against professional standards, or contrary to the interests of another client to whom we owe a duty.
Provisions relating to intellectual property, confidentiality, payment obligations for completed work, and limitation of liability survive termination.
12. Dispute Resolution
We prefer to resolve any concerns informally. If you have a complaint about our services, please contact us directly at [email protected] and we will work with you in good faith to reach a resolution within 21 days.
If a dispute cannot be resolved informally, the parties agree to attempt mediation before commencing formal proceedings. These Terms are governed by the laws of Malaysia, and any legal proceedings shall be brought in the courts of Malaysia.
13. General Provisions
- Entire agreement — these terms, together with any written engagement letter or proposal, constitute the entire agreement between the parties on the subject matter.
- Severability — if any provision of these terms is found to be unenforceable, the remaining provisions continue in full effect.
- Waiver — failure to enforce any provision of these terms does not constitute a waiver of future rights to do so.
- Assignment — you may not transfer your rights or obligations under these terms to a third party without our written consent. We may assign our obligations to a successor entity in the event of a business restructure.
- Notices — formal notices should be sent by email to the addresses specified in these terms, and are deemed received on the next working day following sending.
14. Changes to Terms
We may update these terms from time to time. When we do, we will revise the "Last updated" date above. For ongoing engagements, changes to these terms will take effect at the next renewal or new engagement, not retroactively. We will give reasonable notice of any material changes.
